Chairman of the Supervisory Board Dr. Andreas Wiele will not stand for re-election – search for successor initiated immediately

Unterföhring, January 24, 2025. The Chairman of the Supervisory Board of ProSiebenSat.1 Media SE, Dr. Andreas Wiele, today informed the company's Supervisory Board and Executive Board that he will not seek a further term of office as a member and Chairman of the Supervisory Board after the regular expiry of his term of office. Andreas Wiele therefore intends to step down from the Supervisory Board at the end of the Annual General Meeting on May 28, 2025. This announcement also immediately initiates the orderly search by the Supervisory Board and the Nomination Committee for a suitable successor, with the aim of submitting a proposal to the regular Annual General Meeting in May 2025.

Dr. Andreas Wiele, Chairman of the Supervisory Board of ProSiebenSat.1 Media SE: "I would like to thank my colleagues on the Supervisory Board and the Executive Board for the trustful collaboration over the past three years. With an outstanding Executive Board and a clear strategy, ProSiebenSat.1 is on the right track and in a great position. The initial successes of this strategy have been achieved by focusing on the core business, investing heavily in local content, the strong growth of Joyn, and the value-creating approach of growth and value realization in the Commerce & Ventures segment," says Andreas Wiele. "At the same time, the shareholder structure and the composition of the Supervisory Board have changed significantly since I took office in 2022. Given these circumstances, I now feel the time has come to hand over my office in an orderly manner. By doing so, the company can continue consistently on the transformation path it has embarked on."

On behalf of the entire Group and its employees, the Supervisory Board and the Executive Board would like to thank Andreas Wiele for his outstanding achievements. As an experienced manager in the media sector, he has played a key role in shaping and driving forward the company’s transformation to a local entertainment champion with the leading digital platform in German-speaking countries.

Prof. Dr. Cai-Nicolas Ziegler, Deputy Chairman of the Supervisory Board of ProSiebenSat.1 Media SE: "For ProSiebenSat.1, the departure of Dr. Andreas Wiele means the loss of an excellent Chairman of the Supervisory Board with a wealth of experience in transformation. Due to his in-depth knowledge, extensive expertise in the media sector, integrity and, in particular, strong willpower and creative ability, Andreas has consistently driven the necessary transformation of the media company,", says Cai-Nicolas Ziegler. "I would like to express my heartfelt gratitude to Andreas for his unwavering dedication in representing the interests of the company, its shareholders and its employees. His departure leaves a great void, which won’t be easy to fill."

Bert Habets, Group CEO of ProSiebenSat.1 Media SE: "On behalf of the entire Executive Board, we would like to thank Andreas Wiele for the valuable dialogue over the past few years. We regret his decision, as we have always worked excellently with him. He has strongly supported our strategy and his deep understanding of media as well as his change expertise have been a great help to the company."

"When children do sports, they speak one language."
“UKIMWI” is spelled out in capital letters on the ground of the dusty sports field in Bukoba, Tanzania. Ukimwi is Swahili, and it means AIDS. The children from the elementary school put the word together using lots of little wooden sticks.
