ProSiebenSat.1 Annual General Meeting Resolves Dividend Payment of EUR 1.80 per Share

Munich, June 30, 2016. ProSiebenSat.1 Media SE’s Annual General Meeting took place in Munich today. The shareholders resolved to distribute a dividend of EUR 1.80 per dividend-entitled share for the 2015 financial year (previous year: EUR 1.60). This equates to a total payout of around EUR 386 million and a payout ratio of 82.6 % of Group underlying net income. The dividend will be paid out on July 1, 2016. In addition, the Annual General Meeting granted discharge to the Executive Board and Supervisory Board for the 2015 financial year by a large majority. Furthermore, the shareholders of ProSiebenSat.1 Media SE have elected Ketan Mehta, Managing Director at Allen & Company LLC, to the Supervisory Board. In November 2015, Mehta succeeded Philipp Freise by way of judicial appointment. Freise had resigned from office with effect as of July 31, 2015. In addition, the Annual General Meeting approved all further proposed resolutions put to vote by the Executive Board and Supervisory Board by a large majority. Around 750 participants attended the Annual General Meeting in Munich. Shareholders were represented with approximately 67 % of share capital.
