Axel Springer sale of ProSiebenSat.1 stake to KKR and Permira closed

Munich, January 16, 2008. ProSiebenSat.1 Media AG has a new ownership structure. Axel Springer AG yesterday closed the announced sale of its shares of ProSiebenSat.1 to Lavena Holding 5 GmbH, a company controlled by funds advised by KKR and Permira. Axel Springer indirectly held 12 percent of ProSiebenSat.1 capital stock: 12 percent of the voting common stock and 12 percent of the non-voting preferred stock. Lavena Holding 5 GmbH, which formerly held approximately 50.7 percent of the capital stock of ProSiebenSat.1 Media AG, has increased its stake to approximately 62.7 percent. It now holds 100 percent of the Companys voting common stock and approximately 25 percent of the non-voting preferred stock.

In connection with the sale of Axel Springers stake, both Dr. Mathias Döpfner, the Chairman of the Executive Board of Axel Springer AG, and Christian Nienhaus, Managing Director of Bild Group, resigned from their seats on the Supervisory Board of ProSiebenSat.1 Media AG, effective immediately. The possible reallocation of seats on the Board will be decided on at the annual shareholders meeting of the ProSiebenSat.1 Media AG on June 10, 2008.
