ProSiebenSat.1 Group creates new Diversification segment

Dr. Marcus Englert to be the segments Director/TV corporation plans to double Diversification revenues/SevenOne Interactive to report to Executive Officer Sales & Marketing

Munich, September 16, 2004. The ProSiebenSat.1 Group has established a new corporate segment. Effective immediately, the new Diversification segment will cover the activities of subsidiaries SevenOne Intermedia and MM MerchandisingMedia. The restructuring move is intended to help the ProSiebenSat.1 Group diversify its sources of income and build up revenues that do not come directly from TV advertising.

The two companies in the new segment will have an expanded portfolio: SevenOne Intermedia, which has been responsible for online operations, teletext, mobile services and audiotex, will also take charge of interactive and digital television, as well as customer loyalty management. MM MerchandisingMedia, responsible until now for licensing and merchandising, will also handle the Groups teleshopping activities. Setting up a single segment for the two companies is intended to enhance cooperation and increase efficiency.

The new segment of the ProSiebenSat.1 Group will be headed by Dr. Marcus Englert, 39, who as Diversification Director will report directly to CEO Guillaume de Posch. At the same time, Englert will continue to head SevenOne Intermedia GmbH, the ProSiebenSat.1 Groups multimedia firm. He is also Vice-Chairman of Germanys Private Radio and Telecommunications Association (VPRT), where he additionally chairs the Multimedia Committee. Bettina Köckler, 36, will continue to head the management of MM MerchandisingMedia.

Says ProSiebenSat.1 CEO Guillaume de Posch: Diversifying our sources of income is one of the Groups strategic goals. The new structure gives us everything we need to do the job. The new segment has a clear, lean, efficient, synergistic setup. With it, the Group is very well equipped to handle the multimedia challenges of the future. The Companys Diversification segment currently generates about seven percent of revenues a percentage the Group intends to double within the next three years.

Plans especially call for building up the growth areas of merchandising, Call TV and added-value telephone services, teleshopping, e-commerce, teletext, the Internet, and mobile applications. Another focus will be future interactive and digital television activities, and the music business. Plans also call for reinforcing Group-wide viewer-loyalty and brand-loyalty building activities.

Also effective immediately, online and teletext services marketer SevenOne Interactive, previously a SevenOne Intermedia subsidiary, will be placed among the operations directly supervised by the Groups Chief Sales & Marketing Officer Peter Christmann. Thus Christmann will be in charge of all selling activities within the ProSiebenSat.1 Groups advertising operations. SevenOne Interactive will also take over MM MerchandisingMedias e-commerce business and viewer club cooperations. SevenOne Interactive general manager Matthias Falkenberg, 39, will report directly to Christmann.
