ProSiebenSat.1 launches 7Commerce subsidiary

Strategic online investments bundled under new family brand Daniel Raab and Claas van Delden to serve as Managing Directors Majority acquisition of Flaconi and Amorelie 7Commerce to increase its equity interest in Preis24.de Munich, 19 March 2015 - The ProSiebenSat.1 Group is launching a new company for its strategic e-commerce investments: All companies in this segment in which ProSiebenSat.1 has held significant equity interests are being transferred from SevenVentures GmbH to 7Commerce GmbH. The Managing Directors of the new company are Claas van Delden and Daniel Raab who have overseen the strategic portfolio up to now and built it up within SevenVentures. The financial business and media cooperation without strategic fit will remain part of SevenVentures under Managing Director Sascha van Holt. This includes international minority partnerships with US start-ups (Shopkick, Jawbone, JustFab) that seek to conquer the German market with the help of SevenVentures. Daniel Raab, Managing Director of 7Commerce: "Our objective with the spinoff is to position ourselves more clearly on the market as a long-term investor and leverage additional synergies within the steadily growing strategic investment portfolio."Claas van Delden, Managing Director of the new company, adds: "To achieve continued growth, you need the right foundation. Our new company provides a platform that will enable our portfolio companies to grow even more dynamically in the future: Thanks not only to the media synergies with our parent company but also to the centralized bundling of digital and e-commerce expertise." Majority acquisition of Flaconi and Amorelie The newly launched 7Commerce is also adding two strategic majority holdings to its portfolio: Flaconi will be 100 percent owned by 7Commerce. The commercial success of the young online perfumery (www.flaconi.de) validates the venture arm of ProSiebenSat.1 in its conviction that leveraging TV presence for online presence can succeed in perfume and cosmetics as well. The Munich-based company had already increased its shareholding in Germany's second-largest online perfume shop in a second round of financing back in May 2014. Paul Schwarzenholz and Björn Kolbmüller, who founded the online shop, will continue to serve as its Managing Directors. 7Commerce is also acquiring the majority share in Amorelie, an online shop for erotic lifestyle goods. Amorelie is experiencing triple-digit growth rates in online sales and shows a great affinity for the medium of television and with the target groups that ProSiebenSat.1 reaches with its TV channels. SevenVentures just acquired a 23 percent holding in Amorelie in January 2014. This share will now be increased to 75 percent. The founders and co-owners Lea-Sophie Cramer and Sebastian Pollok will continue to manage the business. The acquisition is subject to approval by the Federal Cartel Office. In addition, 7Commerce will purchase all the shares held by Sixt e-ventures in Preis24.de, the leading online price comparison platform for mobile phone and smartphone rate plans. By increasing its equity stake to approximately 85 percent, 7Commerce will become the company's sole strategic investor, with the remaining shares held by the founders' and management team led by Tim Heidfeld. This acquisition is pending, subject to approval by the German Federal Cartel Office. 7Commerce focuses its investments in the segments of Travel, Beauty & Accessories, Marketplaces, Home & Living and Fashion & Lifestyle. It currently has seven equity investments. To encourage synergies and exchanges among the investments, the longer-term partnerships are bundled into logical clusters. ProSiebenSat.1 has already established a vertical that interconnects various user interests in the "House of Travel" around weg.de, tropo, reise.com, ferien.de, billiger-mietwagen, wetter.com, and the experiences specialist mydays.
