ProSiebenSat.1 Media AG Announces Candidates for Supervisory Board Election

Dr. Werner Brandt, CFO of SAP AG, nominated as Supervisory Board Chairman

Munich, May 19, 2014. ProSiebenSat.1 Media AG has published the invitation to the 2014 Annual General Meeting. In this context, the Company also announced the candidates for the election to the ProSiebenSat.1 Supervisory Board. The current Supervisory Board nominates Dr. Werner Brandt, Chief Financial Officer of SAP AG, as the new Chairman of the Supervisory Board of ProSiebenSat.1 Media AG. Dr. Brandt has been a member of the SAP Executive Board since 2001 and also Chief Human Resources Officer and Labor Relations Director since July 2013. Previously, he was Chief Financial Officer at Fresenius Medical Care AG for two years and from 1992 to 1999 a member of the Management Board and Vice President European Operations of Baxter Deutschland GmbH. Dr. Werner Brandt has many years of experience in Supervisory Boards of DAX companies and current Supervisory Board positions include those at Deutsche Lufthansa AG and RWE AG. The Supervisory Board also nominates the following candidates for election to the Supervisory Board: Lawrence A. Aidem, Co-Founder, President and CEO of Iconic Entertainment Inc., New York/USA Antoinette P. Aris, Adjunct Professor of Strategy at INSEAD, Fontainebleau/France Adam Cahan, Senior Vice President Mobile and Emerging Products at Yahoo Inc., Sunnyvale/USA Dr. Marion Helmes, CFO and Speaker of the Management Board of Celesio AG, Stuttgart/Germany Erik Adrianus Hubertus Huggers, Senior Vice President and President of Verizon Communications, New York/USA The following are up for re-election: Stefan Dziarski, Principal at Permira Beteiligungsberatung GmbH, Frankfurt am Main/Germany (member of the Supervisory Board from June 2008 to June 2009 and since May 2012) Philipp Freise, Partner at Kohlberg Kravis Roberts & Co. Ltd. (KKR), London/UK (member of the Supervisory Board since March 2007) Prof. Harald Wiedmann, auditor, lawyer, tax advisor at Gleiss Lutz Hootz Hirsch Partnergesellschaft von Rechtsanwälten, Steuerberatern, Berlin/Germany (member of the Supervisory Board since June 2009) The terms of office of the current Supervisory Board Chairman Johannes Huth and the long-standing Supervisory Board members Dr. Jörg Rockenhäuser, Lord Clive Hollick and Götz Mäuser expire this year as scheduled. They will not present themselves for re-election at the Annual General Meeting. In accordance with the recommendation of the German Corporate Governance Code, the election of the new members of the Supervisory Board shall be performed by individual elections. The Annual General Meeting of ProSiebenSat.1 Media AG is to take place on June 26, 2014 in the Event Arena at the Munich Olympiapark.
