ProSiebenSat.1 Media AG: takeover of SBS Broadcasting Group to be examined

Munich, March 29, 2007. ProSiebenSat.1 Media AG will examine the potential takeover of SBS Broadcasting Group. At yesterdays meeting, ProSiebenSat.1 Media AGs Supervisory Board has authorized the Executive Board of Germanys largest commercial TV provider to enter into the examination process and to evaluate the possible acquisition of SBS Broadcasting Group.

In order to enable an independent review of this potentially attractive opportunity, the Board has agreed on the implementation of an Independent Directors Committee (IDC) composed exclusively of independent Board members. These are as follows: Greg Dyke, media consultant, Harry Sloan, Chairman and CEO of Metro-Goldwyn-Mayer, and Professor Dr. Harald Wiedmann, President of the Accounting Standards Committee of Germany. Greg Dyke chairs the Committee. Endowed with far-reaching authority, the newly created Committee will oversee the entire examination process and has to approve the transaction.

After a comprehensive due diligence and on the basis of a fairness opinion by investment bank Citigroup as well as an independent company valuation by audit firm Susat, a final decision is expected towards mid 2007.

A combination with SBS Broadcasting Group would represent an attractive growth opportunity. Combining both groups to a leading European TV provider would offer excellent perspectives for the Company, said Guillaume de Posch, CEO of ProSiebenSat.1 Media AG. We will execute the examination process in the interest of the Company and all its shareholders.

At the meeting, the Supervisory Board also decided on this years General Meeting. It will take place on July 17, 2007.

ProSiebenSat.1 Media AG is Germanys largest commercial TV provider. The Companys major shareholders are Lavena Holding 4 GmbH, a holding company controlled by funds advised by KKR and Permira, holding approximately 50.5 percent of the registered share capital, as well as Axel Springer AG with approximately 12 percent. Public free float amounts to 37.5 percent. Funds advised by KKR and Permira also hold a majority stake in SBS Broadcasting Group.
