ProSiebenSat.1 Annual General Meeting resolves re-election of entire Supervisory Board

Munich, June 12, 2019. Today, the Annual General Meeting of ProSiebenSat.1 Media SE was held in Munich. By a clear majority, the shareholders confirmed all nine members of the Supervisory Board in office. The Supervisory Board had unanimously stood for re-election. Following the Annual General Meeting, Dr. Werner Brandt was again elected as Chairman of the Supervisory Board and Dr. Marion Helmes as his deputy. Furthermore, the Annual General Meeting granted discharge to the Executive Board and Supervisory Board for the 2018 financial year by a clear majority. Max Conze, CEO of ProSiebenSat.1 Media SE, commented at today’s AGM: "We have set-up a clear growth strategy that combines the power of our Entertainment brands with our equally strong Commerce platforms to build a unique business model. Therefore, we are making our Entertainment business future-fit, focusing on more local content, distributing it digitally and thus increasing our reach. We are making this reach addressable and at the same time creating additional value through the synergies between our Entertainment and Commerce business. In 2019, our full focus continues to be on generating solid organic revenue growth with double-digit growth rates at Red Arrow Studios and NuCom Group as well as a rapidly growing digital business". The shareholders also resolved to distribute a dividend of EUR 1.19 per share for the 2018 financial year (previous year: EUR 1.93). This corresponds to a total payout of around EUR 269 million and a payout ratio of around 50 % of adjusted net income. This is consistent with the Group’s adjusted dividend policy. The dividend will be paid out on June 17, 2019. The Annual General Meeting also adopted all further proposed resolutions requiring their approval by a clear majority. The Annual General Meeting was attended by around 960 participants and guests, and approximately 51.4 % of the share capital was represented. Feel free to click here to access photos of the day.
