ProSiebenSat.1 Media AG: Acquisition of Euvia Media AG & Co. KG completed

Munich, June 2, 2005. ProSiebenSat.1 Media AG yesterday concluded the acquisition transaction of Euvia Media, after the final approval by the Austrian antitrust authorities on May 24, 2005. The Commission on Concentration in the Media Sector (KEK) signaled approval on May 10, 2005; and the German antitrust authorities on April 19, 2005. Effective immediately, ProSiebenSat.1 Media AG holds 100 percent of Euvia Media AG & Co. KG. The ProSiebenSat.1 Media AG has acquired 48.6 percent of the company from H.O.T. Networks GmbH i.L., and 3.0 percent from Euvias CEO Christiane zu Salm.

ProSiebenSat.1 Media AG will consolidate 100 percent of the June results of Euvia Media in its Q2 Group results. Therefore, the publishing date of the Q2 report and first half of 2005 of the Group will shift from August 11 to August 26, 2005.

Euvia Media AG is a management and investment holding company for transaction television. It operates the interactive entertainment channels 9Live, Germanys first quiz channel, and sonnenklar TV, which specializes in travel sales. Euvia Media was the first operator in the German TV market to deploy the transaction television business model, which relies mainly on viewer participation for funding.
