Regional Court Munich I decides in favor of ProSiebenSat.1 in appraisal proceedings

Munich, September 8, 2006. The Regional Court Munich I today has decided against the applications made in the appraisal proceedings for additional cash payments by ProSiebenSat.1 Media AG. The appraisal proceedings with court file no. 5 HKO 20128/00 had been initiated in connection with the merger of ProSieben Media AG and SAT.1 Holding GmbH into ProSiebenSat.1 Media AG in the year 2000. Subsequent to the merger, several former preference shareholders of ProSieben Media AG had applied for a review of the exchange ratio underlying the merger and an assessment of additional cash payments. The first instance decision of the Regional Court Munich I is subject to appeal.
