The consolidated financial statements of ProSiebenSat.1 Group for the financial year ending December 31, 2023 have been prepared in accordance with the International Financial Reporting Standards ("IFRS") as adopted by the European Union and the additional requirements of German commercial law pursuant to Section 315e (1) of the German Commercial Code (Handelsgesetzbuch - HGB) in effect at the reporting date. The annual financial statements of ProSiebenSat.1 Media SE were prepared in accordance with the provisions of the German Commercial Code (HGB) and the German Stock Corporation Act (AktG) in conjunction with Article 61 of Regulation (EC) No. 2157/2001 (SE Regulation). Both the consolidated financial statements and the annual financial statements of ProSiebenSat.1 Group and ProSiebenSat.1 Media SE are available on the Company's website, with the annual financial statements of ProSiebenSat.1 Media SE being available from the date on which the Company's Annual General Meeting is convened:

Both sets of financial statements are audited and certified by an independent auditing firm. For the 2023 financial year, they have been audited by EY GmbH & Co. KG Wirtschaftsprüfungsgesellschaft ("Ernst & Young") with Nathalie Mielke as the responsible auditor and were each issued with an unqualified audit opinion on March 5, 2024. Tobias Schlebusch also signed the auditor's report. Nathalie Mielke has been the responsible auditor of Ernst & Young for the company since the 2019 financial year.
